Please read the following to learn more about thePartnerOptimizer Privacy Policy for PartnerOptimizer Clients who enter into Agreements with PartnerOptimizer to perform partner intelligence and partner discovery services that include the use of PartnerOptimizer, collectively referred to as “PartnerOptimizer” for purposes of this Privacy Policy.
INFORMATION COLLECTION AND USE
PartnerOptimizer collects Client’s reseller, partner and/or customer information when Client enters into a PartnerOptimizer Agreement with PartnerOptimizer to perform partner intelligence services. Such information typically includes the Client’s list of reseller, partner or customer domain (website) urls. PartnerOptimizer may collect personal information when Client enters into a PartnerOptimizer Agreement with PartnerOptimizer to perform partner intelligence services. PartnerOptimizer uses information for the following general purposes: to fulfill your requests for products and services, improve our services, contact you, and conduct research.
CONFIDENTIAL INFORMATION
Definition. Confidential Information shall mean and include all of the confidential and proprietary information and all other information, not in the public domain, that relates to the PartnerOptimizer Service. All information disclosed or revealed by a Party hereunder orally, electronically, in writing or in any other tangible form, shall be deemed to be Confidential Information if (i) it has been marked confidential; (ii) the other Party has been placed on notice, orally or in writing, of its confidential nature; or (iii) due to its character or nature, a reasonable person under similar circumstances would treat such information as confidential.
Protection of Confidential Information. The receiving Party will protect the disclosing Party’s Confidential Information from unauthorized dissemination and use with the same degree of care that such receiving Party uses to protect its own non-public and confidential information, but in no event less than a commercially reasonable degree of care. The receiving Party will not use the disclosing Party’s Confidential Information for purposes other than those necessary to directly further the purposes of this Agreement. The receiving Party will not disclose to third parties the disclosing Party’s Confidential Information without prior written consent of the disclosing Party.
Non-Confidential Information. Information shall not be considered Confidential Information to the extent, but only to the extent, that the receiving Party can document that such information (i) is or becomes generally known or available to the public through no fault of the receiving Party, (ii) was in the receiving Party’s possession before receipt from the disclosing Party under this Agreement or any prior agreement or understanding between or among the Parties, or (iii) is lawfully obtained from a third party who has the right to make such disclosure.
Disclosure of Confidential Information. These provisions shall not prevent the receiving Party from disclosing Confidential Information where it is required to do so by law or by a binding court order save that, to the extent legally permissible, it shall notify the disclosing Party of such disclosure and allow the disclosing Party a reasonable opportunity to object to such disclosure.
INFORMATION SHARING
PartnerOptimizer does not rent, sell, or share Client’s personal or confidential information with other people or non-affiliated companies except to provide products or services you’ve requested, when we have your permission, or when we respond to subpoenas, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims. If PartnerOptimizer becomes involved in a merger, acquisition, or any form of sale of some or all of its assets, we will provide notice before personal information is transferred and becomes subject to a different privacy policy.
PartnerOptimizer limits access to Client’s personal or confidential information to employees who we believe reasonably need to come into contact with that information to provide products or services to you or in order to do their jobs. These individuals are bound by confidentiality obligations and may be subject to discipline, including termination and criminal prosecution, if they fail to meet these obligations.
CHANGES TO THIS PRIVACY POLICY
PartnerOptimizer may update this policy. We will notify you about significant changes in the way we treat personal information by sending a notice to the primary email address specified in your PartnerOptimizer account or by placing a prominent notice on our site.

Your right to privacy regarding the personally identifiable information (“Information”) that you, our customers and users, provide to us to enable us to serve you is very important to PartnerOptimizer Inc. We believe this information should only be used to help us provide you with better service. Collection and Use of Information
In order to provide PartnerOptimizer services to our customers, we require Information regarding our customers’ users. This includes name, address, email address, telephone number, credit card information, and, depending on the PartnerOptimizer services ordered, other information that can be used to identify and contact you. The administrative and/or billing contact information provided in connection with the Services may be used to contact Customer or its representatives about its subscription, its opinions about the pre-release Services, or its interest in continuing the account after commercial release of the services.
Additional Uses
If you use the email links on our website to contact us directly, we may use your comments to improve our website and our services.
PartnerOptimizeror its services providers may automatically track certain information about your use of the PartnerOptimizer web sites, for example logging IP addresses or other information for system administration purposes, and monitoring any illegal use of the services. This information will be analyzed to constantly improve the value of the materials and services available onPartnerOptimizer’s website.
Other information about your usage may be logged, such as Internet service provider and browser type, in order to analyze usage trends and broad demographic information.
Disclosure of Information
PartnerOptimizerprovides some of its services through contractual arrangements with affiliates, service providers, partners and other third parties (collectively, “Partners”). For example PartnerOptimizer’s Email service is made available through a contract email services provider. If you’ve subscribed to any of our contracted content or services, you should be aware that we share Information with these third party Services Partners in order to ensure your access to the PartnerOptimizer services that you have ordered. Many Services Partners have adopted their own privacy policies, which are not subject to control by PartnerOptimizer. However, to protect PartnerOptimizer customers and partners, PartnerOptimizer contractually prohibits its Services Partners from using the Information that we collect except as necessary to provide PartnerOptimizer services to you.We may use other companies, agents or contractors to perform services on our behalf as well, such as processing credit card transactions. We also provide postal addresses to the U.S. Post Office for delivery purposes. In the course of providing such services, these other companies may have access to your Information. These companies are not permitted to use your Information except for the purpose of providing the services we request of them.
Legal Disclosures
PartnerOptimizer may disclose your Information if required to do so by law or in the good-faith belief that such action is necessary to prevent injury or property damage, if we reasonably believe disclosure is necessary to establish or exercise legal rights, or in situations involving potential threats to physical safety. We may attempt to notify you when we are making such a disclosure, but we may not do so in an emergency or when we are prohibited by law or court order from giving such notice. If PartnerOptimizer is acquired by or merged with a third party, we reserve the right, to sell or otherwise transfer the personal Information we have collected as part of that transaction provided that such third party continues to honor our privacy policy.Personal data collected or otherwise processed by PartnerOptimizer in the performance of the Services may be transferred to, and stored and processed in, the United States or any other country in which PartnerOptimizer or its service providers maintain facilities. PartnerOptimizer abides by the Safe Harbor framework as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of data from the European Economic Area and Switzerland.
Security
PartnerOptimizer takes information security very seriously and uses reasonable measures to protect your Information from unauthorized access, including storing all the Information we gather from you in secure databases. However, no security system can be guaranteed to be 100% secure, and therefore we cannot guarantee the security of your Information or assume liability for improper access to it. By using the PartnerOptimizer web sites, or providing Information to us through any means, you agree that we can communicate with you electronically regarding security, privacy, and administrative issues relating to your use of our web site.
Your Passwords
You should never disclose your password to any third parties. If you lose control of your password, you may lose substantial control over your Information and may be subject to legally binding actions taken on your behalf. Therefore, if your password has been compromised for any reason, you should immediately change your password.
Our Policy Towards Children
PartnerOptimizer does not direct our services towards individuals under the age of 18. We do not knowingly collect Personal Information from individuals under the age of 18. If we become aware that we have collected Personal Information from individuals under the age of 18, we take steps to immediately delete that information. Additional Notices for Certain Jurisdictions
PartnerOptimizer is based in the United States. The Site and Services are controlled and operated by us from the United States and are not intended to subject us to the laws or jurisdiction of any state, country or territory other than that of the United States. Your Personal Information may be collected, transferred to, stored and otherwise processed in any country where we have facilities or in which we engage service providers, and by using the Site and/or Services you consent to the transfer of information to countries outside of your country of residence, including the United States, which may have data protection rules that are different from those of your country.
